1. Agreement to these terms
By registering for or using Maicro ("the Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Platform. These Terms apply to all businesses ("Vendors") that operate accounts on the Platform and to all customers of those businesses who access the Platform through a Vendor's account.
2. Description of services
Maicro provides a white-label software platform enabling businesses to manage savings contributions, rotating contribution groups (Adashi/Esusu), installment (Easy Buy) payment plans, and digital mutual agreements. Maicro is a technology provider only. It does not hold, manage, or guarantee any funds on behalf of Vendors or their customers.
3. Vendor responsibilities
Vendors using the Platform agree to:
- Provide accurate and complete information during registration.
- Comply with all applicable Nigerian laws and regulations, including those relating to the collection and management of funds from members of the public.
- Obtain all required licences, permits, or registrations before accepting customer funds.
- Take full responsibility for the accuracy of records entered into the Platform.
- Protect their login credentials and notify Maicro immediately of any suspected breach.
- Not use the Platform for any unlawful, fraudulent, or deceptive purpose.
4. Customer accounts and data
Customer data entered by a Vendor remains the property of that Vendor and their customers. Maicro processes this data solely to provide the Platform's functionality. Customer portal access is granted by the Vendor via a secure invitation link. Customers are responsible for maintaining the confidentiality of their own login credentials.
5. Payments and subscriptions
Access to the Platform requires an active subscription. Subscription fees are set out on the pricing page and may be updated from time to time with reasonable notice. Maicro does not process customer funds or financial transactions between Vendors and their customers. All payment arrangements are solely between Vendors and their customers.
6. Intellectual property
The Platform, including its software, design, and content, is owned by Maicro and protected by applicable intellectual property laws. Vendors are granted a limited, non-exclusive, non-transferable licence to use the Platform for their internal business purposes only.
7. Limitation of liability
To the maximum extent permitted by law, Maicro shall not be liable for any loss of customer funds, data loss, lost profits, or any indirect or consequential damages arising from the use of the Platform. Maicro's total liability to any Vendor shall not exceed the subscription fees paid by that Vendor in the 3 months preceding the claim.
8. Termination
Maicro may suspend or terminate a Vendor's access to the Platform immediately and without notice if the Vendor breaches these Terms, engages in fraudulent activity, or poses a risk to the Platform or other users. Vendors may cancel their subscription at any time through the Platform's settings.
9. Changes to these terms
Maicro may update these Terms from time to time. Continued use of the Platform after notice of any changes constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the jurisdiction of Nigerian courts.
